EUROPEAN COMMUNITIES (SINGLE-MEMBER PRIVATE LIMITED COMPANIES) (AMENDMENT) REGULATIONS 2008

Notice of the making of this Statutory Instrument was published in

“Iris Oifigiúil” of 12 September, 2008.

I, MARY COUGHLAN, Minister for Enterprise, Trade and Employment, in exercise of the powers conferred on me by section 3 of the European Communities Act 1972 (No. 27 of 1972) and for the purpose of giving further effect to Council Directive No. 89/667/EEC ¹ of 21 December 1989 hereby make the following regulations:

1. (1) These Regulations may be cited as the European Communities (Single-Member Private Limited Companies) (Amendment) Regulations 2008.

(2) These Regulations shall come into operation on 16 September 2008.

2. In these Regulations “Principal Regulations” means the European Communities (Single-Member Private Limited Companies) Regulations 1994. ( S.I. No. 275 of 1994 ).

3. The Principal Regulations are amended-

(a) in Regulation 5(2) by substituting “in the form specified in Schedule 1 or a form to like effect” for “in the prescribed form”,

(b) in Regulation 6 by substituting “in the form specified in Schedule 2 or a form to like effect” for “in the prescribed form”,

(c) after Regulation 14, by inserting Schedules 1 and 2 set out in the Schedule.

4. Regulations 3 and 4 of the European Communities (Single-Member Private Limited Companies)(Forms) Regulations 1994 ( S.I. No. 306 of 1994 ) are revoked on the coming into operation of these Regulations.

The purpose of these Regulations is to amend Forms M1 & M2 and revoke the previous respective forms. Form M1 is a notice of change to a single member company. Form M2 is the notice of a change status of a single member company.
